Phil is the Senior Manager, Employee Share Plans at Lloyds TSB Registrars with responsibility for Business Development, the ESP market environment and industry issues as well as a strategic marketing role. He joined the Lloyds TSB group in 1979 and has worked in the branch network, electronic banking, personnel & training and finance departments before moving to Registrars in 1990. Phil is a founder member of the Share Schemes Advanced Studies Group and President of the WECC. |

John is a frequent speaker on industry topics, and has participated on many share plan related panels and conferences, both internationally and in the US. John is a member of The Global Equity Organization (GEO) Board of Directors, and currently serves as Treasurer and member of the Executive Committee. He is the current Election Chair for the Board, as well as Chair of the Finance Committee. John earned his CEP credential in 1999, and also serves on the Advisory Board of Santa Clara University’s Certified Equity Professional Institute (CEPI) as a member of the Board’s Vision Committee and International Task Force. He is a member of the National Association of Stock Plan Professionals (NASPP), the Global Equity Organization (GEO), the National Center for Employee Ownership (NCEO) and has participated in ProShare sponsored events in the UK. John earned his Certified Cash Manager (CCM) designation in 1995, and is a member of the Association for Financial Professionals (AFP). He has a Bachelor of Science degree in Engineering from Rensselaer Polytechnic Institute, and received an M.B.A. in Finance from Adelphi University. |

I have been involved in GEO and have been a member from 2003. I am one of the two coordinators of the GEO Spanish Chapter Meeting since its beginning, Chapter which has held regular meetings for the last two years in both Barcelona and Madrid. GEO Spanish Chapter Meetings have been well attended, with a majority of representatives from issuer companies in both locations. I received a GEO Star Award -2007- for Outstanding New Chapter Development, and I have been a regular speaker at the GEO Annual Conferences and local events. My professional background is that I am a Partner of the international employment and benefits practice in the Barcelona office of the law firm of Cuatrecasas. I have a Magister Juris Degree by the University of Oxford and in the past I also worked for a leading law firm in Buenos Aires, Argentina. Coming from Spain, I think I can greatly contribute to increase the global presence of GEO throughout the world. My view is that having members of the Board that come from different countries and cultures may help in giving GEO a more global perspective. As a lawyer in one of the leading firms in the Spanish speaking world, I have worked with equity issuers in both Europe and Latin America, a part of the world still to be covered by GEO Regional or Chapter Meetings. Therefore, I believe I can contribute to the future development of GEO not only on these two regions but also around the world. My idea is also to add a different perspective to the GEO Board of Directors, bearing in mind that sharing the views of employee ownership in different parts of the world, for instance, in terms of cultural and legal perspectives, may certainly help in developing and broadening this global organization. |

I began my career in 1979 in the private practice of law, specializing in U.S. individual and corporate tax matters, ERISA matters and private placements. I joined Hewitt Associates in 1986, where as a member of the firm's Legal Group, I focused primarily on US retirement and welfare plans, and eventually, global equity plans. I joined Mercer Human Resource Consulting as a Principal in the firm's International Practice in 1999 and lead the firm's global equity group. In October 2006, I joined Baker & McKenzie as a Partner in the firm's New York Office, along with other global equity attorneys from Mercer. We are closely integrated with the firm's San Francisco and Chicago Global Equity Services Teams. It is exciting to be part of the Baker & McKenzie team! My experience as a practicing attorney and consultant have given me the ability to approach client issues from a wide range of perspectives. I have had the opportunity to work with a range of individuals within client organizations, from senior management, to legal, tax, finance, and HR. In addition, I have been fortunate to be part of global organizations for the last 20 years. I received my undergraduate degree from Wellesley College and my J.D. from The University of Connecticut School of Law. While practicing law, I completed a substantial portion of the New York University School of Law LL.M. Program in Taxation. I have spoken on global equity topics at numerous conferences, including GEO Annual Conferences and Chapter and Regional Events. I also have written many articles on global equity. With its growing membership and expanding global reach, GEO's importance as a forum for global equity plan sponsors and professionals is greater than ever. I am excited about the organization's future and am honored to be a member of the Board. |

Janet has been a lawyer with international law firm, Linklaters, for 21 years and leads the global employee incentives team, which extends over 25 countries with over 70 lawyers. Janet has been involved with the Global Equity Plans since 1986, working with a client airline to extend its plans in over 60 countries. Since then, Janet, and her team at Linklaters have been involved with over 200 companies’ international share plans, the largest plan operating in over 150 countries. Janet has worked on a whole variety of employee and executive stock plans, related financial products and corporate governance issues around executive pay. Janet led her team’s development of the first online database offered by a law firm, Blue Flag Employee Share Plans, to support companies operating their plans globally and developed the only professionally recognised qualification available in the UK with the ICSA, the Certificate in Employee Share Plans. Janet is a director of the European Centre for Employee Ownership, a director of ifsProShare, a committee member of the UK Share Schemes Lawyer Group, a co-founder member of the Share Schemes Advanced Studies Group, a member of the Institute of Directors, the Institute of Business Ethics and the Recruitment Society. Janet and her team have been involved in many activities to promote the awareness of employee share ownership, both with companies and regulators. Linklaters has been involved with, and is a founding member of, GEO. |

I have been an active member of GEO since its inception in 2000. Together with Janet Cooper and Nicholas Greenacre, I run the UK and Channel Islands local chapter and have helped organise all the annual London One-Day Events. I have also spoken at four of the GEO Annual Conferences. My professional background is that I have been a lawyer (solicitor) since 1990, when my involvement in share plans really began. Most recently (in April 2005), I joined Abacus (now RBC cees), as a Director in their Corporate Services Division, based in London. My role includes relationship and portfolio management in the share plan, deferred compensation and international pension plan areas. I joined Abacus from BP, where I spent just over two years as Legal and Communications Manager in the Pensions Department. Prior to joining the corporate world, I was a partner in Watson Wyatt LLP's Human Capital Group, specialising in all aspects of executive compensation, but in particular in the design, communication and implementation of UK and global all-employee and discretionary share and cash plans. Before moving into remuneration consultancy in 1996, I was a share plan and pensions solicitor with Linklaters. So I guess I must have viewed share plans from every possible perspective!! Outside the day job, I enjoy travel, tennis, the gym (not sure if I actually enjoy this one!) and am a keen football supporter (a lot of the travel therefore involves visiting various football stadia!). |

Based in our London office, Jay Foley is the Director of Citi Smith Barney's Global Stock Plan Services for the UK and Europe. As Director of the European business, Jay oversees all aspects of share plan services including plan administration, employee communications, trade execution and settlement and customer service for a variety of share plan types on more than 10 global markets. Jay has worked very closely with clients in implementing and administering some of the largest equity compensation plans worldwide, including Share Option, Performance and Restricted Share Plans, Global Share Purchase Plans as well as Transferable Option programs. Jay is currently enrolled in the Certified Equity Professional (CEP) program, as well as being member to a number of leading industry organisations such as the Global Equity Organization, the National Association of Stock Plan Professionals (US) and ifs Proshare in the UK. Jay was actively involved in the founding of the Global Equity Organization and sponsoring the first New York GEO Chapter conferences and has attended all of the GEO Annual Conferences. Jay was also actively involved with the New York Chapter of the National Association of Stock Plan Professionals (NASPP), serving as Chapter Secretary for several years. Jay has spoken at both NASPP and GEO conferences. Prior to joining Smith Barney Stock Plan Services in April 2000, Jay worked at First Chicago Trust Company of New York where he worked in both Product Management and New Business Development for Employee Share Plans. Jay worked with some of the earliest and largest, broad-based share plans in the US. Jay graduated from Tulane University with a B.A. in International Relations and Spanish. |

Kelly manages Apple's global stock plan operations team, including daily interaction with brokers and Apple's transfer agent, equity expensing and accounting, and Section 16 reporting. She is also responsible for Apple's Americas payroll tax and accounting teams. Apple's current equity programs include broad-based NQ options, restricted stock units and a 423 employee stock purchase plan, covering 30,000 employees in 35 countries. Kelly has a strong background in developing, implementing and managing control processes, and her team works closely with HR, Legal, Technical Accounting, Tax, Systems and Internal Audit teams to further improve administration of Apple's equity plans. She has 18 years of experience, 16 of which are with Apple, designing and implementing HR and payroll-related systems and interfaces, such as time and attendance, online pay vouchers, and other employee self-service functions. She is a vocal member of ETrade's Client Advisory Board, including their subcommittee on fraud prevention. She also belongs to NASPP, GEO, and the American Payroll Association. She received her BBA in Business Management from the University of Texas at Austin. |

Judith is a Partner and National Head of Tax for Pinsent Masons, one of the leading UK law firms for employee equity incentives. Judith has been involved in this area of practice for the past 19 years and is recognised by leading directories as an expert in this field. She contributed to the main UK loose leaf reference book "Employee Share Schemes" which is written by the Pinsent Masons team and edited by fellow partner David Pett. She is also a member of the Share Plans Lawyers Group, which meets on a regular basis to discuss developments and practical issues with representatives of the UK tax authorities, institutional investors and other organisations with an interest in this area. Her team covers the full range of practice, from advising large listed companies (UK, US and elsewhere) on extending their share plans internationally to advising smaller privately owned companies and employee owned companies on structuring their equity incentives. As Sr. Compensation Consultant, Global Equity, for Intel Corporation, Mike is responsible for leading the design and implementation of Intel?s equity compensation programs worldwide. Mike?s background is predominantly in accounting and finance working as a CPA for a Big Five Public Accounting firm and a computer distributor in Phoenix, Arizona. Mike?s been with Intel for 11+ years spending six of that in finance management and the last five in compensation. While in compensation, Mike has worked on the design of cash, variable pay and equity for Intel?s 90,000 plus employees worldwide. Mike also led the design and implementation of a HR system to track compensation costs for various groups and levels of employees in each of Intel?s 60+ countries. Brian is responsible for the strategic design and implementation of Eli Lilly and Company's equity programs spanning 40,000 participants in 120 countries. He serves as primary liaison with executive, senior management and affiliate personnel to provide insight, guidance and recommendations on equity topics. Carine Schneider is the CEO and co-founder of Global Shares, an independent provider of stock plan administration and consulting services. Ms. Schneider has 20+ years of experience in equity and executive compensation, including four years of experience in a corporate environment. Prior to creating Global Shares, Carine held a senior level management position with Citigroup Stock Plan Services, was a partner with PricewaterhouseCoopers and was the Leader of the Global Stock Plan Services group at Watson Wyatt Worldwide. In 1992, Carine was the founding Executive Director of the National Association of Stock Plan Professionals (NASPP). Carine was also the Director of Customer Services for Corporate Management Solutions (now Transcentive) and was the Manager of Shareholder Relations at Oracle Corporation where she assisted in the initial public offering and managed all aspects of the company's various stock plans. In 1999, Ms. Schneider was a co-founder of the Global Equity Organization (GEO). She currently serves as the Chairperson of the Board of Directors. She is the Chair of the Advisory Board for the Santa Clara University Equity Professionals Certification Program. She is a member of GEO, NASPP and the NCEO. In addition, she is an invited member of the Advanced Share Studies Group in the United Kingdom. Carine was the business community representative on the National College of Ireland Accreditation Committee for the Masters Degree in Employee Ownership. Ms. Schneider was born in The Netherlands and speaks Dutch as well as English. She received her degree in Psychology and Sociology from the University of California, Santa Cruz. Barbara leads the design and development of equity plans and LTIPs at UBS AG, one of the world's leading financial services organisations. UBS operates a variety of equity plans and LTIPs globally, including restricted stock, a broad-based share purchase plan, voluntary deferred compensation opportunities and stock options. Working mainly from London and Zurich, Barbara liases with UBS' HR, business and regional compensation, group compensation operations, tax, legal, accounting, treasury and other internal group and business functions to enhance and develop existing and new plans for UBS employees to support a variety of objectives, including shareholder alignment, retention and pay for performance. Prior to joining UBS AG in September 2004, she worked for consulting firms in the United Kingdom and in Germany for a total period of eight years. Sean is the North East Global Compensation and Benefits Practice Leader for Deloitte, based in New York. Sean has over eleven years of global compensation and tax experience. Sean specializes in the design and implementation of global equity and incentive compensation programs and has helped many of the world’s leading companies develop practical solutions to the tax, administration and human resource challenges that operation of a global share plan presents. Sean has developed a particular expertise in helping companies undergoing corporate reorganizations (in particular mergers and spin-offs) develop strategies to mitigate the effects that such reorganizations have on a company’s compensation and benefits programs. James Wulforst is the President of E*TRADE FINANCIAL Corporate Services, Inc, with responsibility for leading that business to become the most respected provider of easy, innovative, and high-value equity solutions. He joined E*TRADE in early 2007 from Fidelity Investments, where he had an eleven-year tenure, including seven years as the Senior Vice President of Fidelity’s Stock Plan services. Jim’s twenty-five years of financial services experience includes establishing the Fidelity Stock Plan Services group in 1999.
