This meeting has been designed to introduce a wide range of viewpoints from leading professionals working both in the US and around the world. Throughout the day sessions will focus on a specific topic (restricted stock, performance shares, option modification) that will be discussed by our expert panelists. All sessions will be moderated and following each discussion a wrap-up session will be provided giving workshop attendees a point by point discussion of the key issues raised in the prior discussion. Attendees will be asked to work through and complete a worksheet on each of the various plans that provides a ‘take-away’ to thoroughly understand the issues they may encounter in using these types of plans (or considering the use of these plans).

Specific panelists will include the following:

 Panel 1 US perspective
Various technical and practical viewpoints on what the tax, legal, accountancy, plan design, record keeping, and corporate considerations are encountered in using this plan. Panelists and attendees will discuss, debate, and delve into the nuances of using various types of equity compensation plans.
 
 Panel 2 International considerations
Round up of tax, legal, regulatory, and reporting considerations in key Europe and Asia-Pacific region countries. Questions addressed: what are the corporate level impacts (tax, legal, and reporting) of using these plans; what are the employee (tax) impacts; is this technically possible/allowed; how do you manage processes, reporting, and administration; and how do employees perceive this plan.

What alternatives exist for repricing, reducing grant sizes, and scaling back employee stock option plans? This session will address the impact of each alternative, reaction by constituent groups (shareholders, employees, and boards of directors), how best to communicate these changes, and guidance on managing the process.

Performance Plans and Performance Shares
Performance plans have been popular outside of the US for years, however they are currently gaining interest as accounting rule changes allow for more creative plan objective considerations. This session will explore various performance plan alternatives, how to define and determe performance measurements, how to begin the process, and what to expect.
