The Dodd-Frank Wall Street Reform and Consumer Protection Act, signed into law on July 21, includes sweeping changes to the federal laws and regulations governing public companies, including significant new rules related to executive compensation such as:

– Say on pay
– Say on golden parachutes
– Expanded mandatory clawback policies
– New disclosure of:
• The relationship between pay and performance,
• The comparison of the CEO's total annual compensation and the median total annual compensation paid to all other employees, and
• Policies related to hedging activities by insiders
– The elimination of discretionary voting by brokers on these matters

| This timely webinar will review these new provisions, including the anticipated impact that they will have on companies and their executive and equity programs. It will also provide guidance on steps that companies should take now in preparation for these new rules, which are in effect for 2011. |
