An acquisition where the seller's employee equity is exchanged for similar equity awards at the buyer can create numerous complexities especially for companies encountering this situation for the first time. The presenters will discuss their experience helping companies solve these issues and look for audience contributions regarding tips and tricks from experience. The presenters will discuss the implications for accounting, equity administration and tax of specific example deal terms, and how each of these are interrelated and dependent on the other. Real examples of implementation challenges and their solutions will be discussed.
