CSL is currently in the process of implementing a new global equity plan across 34 countries. This is a move away from the phantom cash plan that CSL was previously operating in these locations to a Restricted Stock Unit plan. This interactive discussion—featuring the Head of Executive Remuneration and Equity at CSL, will discuss the critical design decisions and implementation considerations related to the change in award type, including why CSL is moving away from the phantom cash plan towards an equity based plan; how does this change tie into CSL's broader remuneration strategy; how hard / easy is it to manage the roll out of the RSU plan to 34 countries; how does CSL anticipate managing the withholding requirements in various countries via a sell-to-cover process and much more! Session VI - Leavers…The Good, the Bad, and the Downright Ugly! (Design Strategy & Trends)

A key challenge in operating incentive plans from a technical and practical perspective is the treatment of equity under different leaver scenarios. Plan rules are not always clear and general board ‘discretion’ may result in a history of inconsistent application. This practical session will explore the drivers in equity plan leaver provisions both globally and domestically for executive and broad based plans. Panelists will unravel different and varying perspectives with respect to defining and treating particular categories of leavers, consider the impact on plan & vehicle design, in addition to administration and employee communication challenges via the practical experiences of CSL and Macquarie Group. Session VII - The Communications Tightrope (Communications)

What is effective employee communication when it comes to employee equity? This session will explore answers to this loaded question! Panelists will explore what is important for employees when it comes to deciding whether or not to participate in an offering, what their needs are at different points in the lifespan of an award and ways to achieve a perfect balance—effective communication employees will understand and ones that your compliance experts are happy to sign off on, with case studies and practical examples. Keynote Address - ATO Views Around Employee Share Schemes (Compliance & Regulatory)

Australian Taxation Office Assistant Commissioner, Mark Tomlinson, will provide an overview of the Commissioner of Taxation’s current approach to providing public advice and the ATO views in respect of employee share schemes. This will include a progress report on the development of a comprehensive ATO view covering a wide range of ESS issues. He will conclude his talk with an examination of some of the more interesting issues that the ATO is currently grappling with.
